1. Acceptance of Terms

By accessing or using CODAI Scout ("Scout", "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and CODAI Solutions ("CODAI", "we", "us", or "our"), operating under Australian law.

2. Description of Service

Scout is an AI-powered business consulting assistant designed to help Australian businesses identify solutions to operational, compliance, financial, and strategic challenges. The Service uses artificial intelligence (Anthropic Claude) to provide information, recommendations, and guidance.

Important: Scout provides informational guidance only and does not constitute professional advice. For legal, financial, accounting, or compliance matters, consult qualified professionals licensed in your jurisdiction.

3. User Eligibility

You must be:

  • At least 18 years of age
  • Authorized to represent a business or acting as a business owner/operator
  • Capable of entering into legally binding agreements under Australian law

By using Scout, you represent and warrant that you meet these eligibility requirements.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use Scout to:

  • Explore business solutions and recommendations
  • Discuss operational challenges and seek guidance
  • Learn about compliance requirements and best practices
  • Request follow-up from CODAI's consulting team

4.2 Prohibited Uses

You agree not to:

  • Use Scout for illegal, fraudulent, or harmful purposes
  • Attempt to reverse engineer, decompile, or extract the AI model or source code
  • Overload or abuse the Service through automated scraping, bots, or excessive requests
  • Input malicious code, viruses, or exploit attempts
  • Impersonate others or provide false information
  • Use Scout to generate spam, phishing attempts, or fraudulent content
  • Violate any applicable Australian laws (including Privacy Act 1988, Competition and Consumer Act 2010)
  • Circumvent rate limiting or security measures

Violation of these prohibitions may result in immediate termination of access and potential legal action.

5. Intellectual Property Rights

5.1 CODAI's Intellectual Property

All content, design, branding, code, and AI training related to Scout is owned by CODAI and protected by Australian and international intellectual property laws. This includes:

  • The "CODAI Scout" name and logo
  • Website design, user interface, and user experience
  • AI system prompts, instructions, and knowledge base
  • All software, code, and technical infrastructure

5.2 Your Content

You retain ownership of information you provide to Scout (questions, business details, etc.). By using Scout, you grant CODAI a non-exclusive, worldwide, royalty-free license to use, store, and analyze your inputs for:

  • Providing AI responses and recommendations
  • Improving the Service and AI model performance
  • Internal analytics and research (anonymized and aggregated)

We will not sell your data to third parties or use it for advertising purposes.

6. Disclaimers and Limitations

6.1 No Professional Advice

Critical Disclaimer: Scout provides general information and guidance only. Scout's responses do not constitute:

  • Legal advice or representation
  • Financial or investment advice
  • Accounting or tax advice
  • Compliance certifications or audits
  • Guarantees of outcomes or results

Always consult qualified professionals (lawyers, accountants, financial advisors, etc.) before making business decisions based on Scout's recommendations.

6.2 AI Limitations

Scout uses artificial intelligence, which has inherent limitations:

  • AI may generate inaccurate, incomplete, or outdated information
  • Responses are probabilistic and may vary between conversations
  • AI does not have real-time awareness of current events, laws, or regulations
  • Scout cannot guarantee accuracy of any specific recommendation

6.3 Service Availability

Scout is provided on an "as is" and "as available" basis. We do not guarantee:

  • Uninterrupted or error-free operation
  • Availability 24/7 (maintenance may occur)
  • Compatibility with all devices or browsers
  • Security against all cyber threats

7. Limitation of Liability

To the maximum extent permitted by Australian law (including the Competition and Consumer Act 2010):

  • CODAI's total liability for any claim arising from or related to Scout is limited to AUD $100 or the amount you paid to use Scout (whichever is greater)
  • CODAI is not liable for indirect, incidental, consequential, or punitive damages
  • CODAI is not liable for business losses, lost profits, lost revenue, or lost opportunities resulting from reliance on Scout's recommendations
  • CODAI is not liable for decisions you make based on Scout's advice

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under Australian Consumer Law that cannot be lawfully excluded.

8. Indemnification

You agree to indemnify and hold harmless CODAI, its personnel, contractors, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your misuse of Scout
  • Your violation of any law or third-party rights
  • Business decisions you make based on Scout's recommendations

9. Privacy and Data Protection

Your use of Scout is also governed by our Privacy Policy, which explains how we collect, use, and protect your information in compliance with the Australian Privacy Principles and GDPR (where applicable).

By using Scout, you consent to data collection and use as described in the Privacy Policy.

10. Termination

We reserve the right to:

  • Terminate or suspend your access to Scout immediately, without notice, for violations of these Terms
  • Discontinue Scout or modify its features at any time
  • Block IP addresses or sessions engaged in abusive behavior

Upon termination, your right to use Scout ceases immediately, but Sections 5 (Intellectual Property), 6 (Disclaimers), 7 (Limitation of Liability), 8 (Indemnification), and 12 (Governing Law) survive termination.

11. Changes to Terms

We may modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Material changes will be highlighted or communicated via email (if you've provided contact information).

Continued use of Scout after changes constitutes acceptance of the updated Terms. If you do not agree to changes, discontinue use of Scout.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria.

12.2 Dispute Resolution

Before initiating legal proceedings, you agree to:

  • Contact CODAI in writing to describe the dispute
  • Attempt to resolve the dispute through good-faith negotiation for 30 days
  • Consider mediation before litigation

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under Australian law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. All other provisions remain in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CODAI regarding Scout and supersede any prior agreements or understandings.
